Taught by Lawyers Alliance's legal staff, the program is designed to help attorneys represent community development and other nonprofit organizations in business and transactional law matters. Whether you are a new or experienced attorney working in this area, there are many important legal principles governing nonprofit organizations that you should know to help you best represent your client.
MORNING SESSION: 9:30 am - 12:30 pm
Life Cycle of a Nonprofit Organization: Nonprofits are facing difficult economic times. This session will provide an overview of the legal issues confronting nonprofit boards and their managers. The morning session is transitional and provides 3.0 hours CLE credit: 1.5 professional practice, 1.5 skills credit.
Topics include:
- Board oversight and accountability
- Use of restricted assets
- IRS and State regulatory review
- Significant organizational changes
FIRST AFTERNOON BREAKOUT SESSION: 1:30 pm - 3:00 pm

Mergers and Strategic Alliances: This program will address the legal structures nonprofit corporations utilize to achieve mergers and create parent-subsidiary relationships. This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.
OR
Creating Affordable Housing: This program will address in detail the formation of single purpose entities and other critical steps in the development of affordable housing in New York City. This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.
SECOND AFTERNOON BREAKOUT SESSION: 3:00 pm - 4:30 pm

Employment Law: This program will address the most important employment law issues encountered by nonprofit corporations. This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.
OR
Ethical Issues in Pro Bono Representation: This program will address the attorney-client relationship, conflicts of interest, and other ethical issues in the context of pro bono representation. This session is transitional and provides 1.5 hours CLE credit: 1.5 ethics credit.
